There are no income-based franchise taxes in Colorado. However, all entities, with the exception of limited partnerships, insurance companies, and a few other entities, are required to file a periodic (annual) report with the Colorado Secretary of State.
An easy way to determine if your business must file a periodic report is if your business entity has to maintain a GOOD standing with Colorado. Such entities include both foreign and domestic corporations, non-profit corporations, limited liability companies, cooperatives, limited liability limited partnerships, and limited liability partnerships.
The processing fee for all paper-filed annual business reports is $10 for every online submission and $100 for paper filing (even if correcting a rejected report and resubmitting it).
