Initial Fees and Licenses in Virginia
If you're going to operate your business in Virginia, when you start up you're likely to incur filing fees and licensing fees depending on the type of business you run and your business form (corporation, sole proprietorship, partnership, or limited liability company (LLC)).
Corporations. If you're doing business as a domestic corporation (a corporation incorporated in Virginia) in Virginia you will be subject to various fees when you start up. The following are the filing requirements and payments by domestic corporations to the State Corporation Commission:

If you're doing business as a foreign corporation (a corporation organized outside of Virginia) in Virginia, you will be subject to initial fees when you start up. The following are the filing requirements and payments by foreign corporations to the State Corporation Commission:

Corporation charter and entrance fees. When a domestic corporation applies for its corporate charter or a foreign corporation applies for its certificate of authority to do business in Virginia, an entrance fee is also required. For corporations that have one million or fewer authorized shares, the fee is $50 for each 25,000 shares. If your corporation has more than one million authorized shares, the fee is $2,500. Whenever the number of authorized shares increases, the amount charged is the amount that would be required to be paid if the increased number of authorized shares were being stated at that time in the original articles of incorporation.
Limited liability companies (LLCs). If your company is either a domestic or foreign limited liability company (LLC), you must file the following documents as applicable with the Virginia State Corporation Commission:

Business licenses and fees. Virginia requires that you obtain a license and pay a fee if you are operating certain types of businesses in the state. Be sure to check with the state to make sure you are complying with the license requirements for your particular profession.
