These Terms of Use also govern Toolkit.com Membership and your use of the Toolkit Store ("Toolkit Store") and the use of all information, software, FUNCTION, graphics, artwork, and any other online content, materials, and resources available at http://www.toolkit.com/store (the "Toolkit Store Content") and the purchase of any other products or services (each, a "Product").

By accessing this Website and/or Toolkit Store, you agree to the following Terms of Use. If you do not agree to these Terms of Use, do not access this Website or Toolkit Store. Toolkit Media Group reserves the right to change these Terms of Use, and your continued use of this Website constitutes agreement to all such changes. You are responsible to view these Terms of Use, regularly. Toolkit Media Group may make improvements, updates, or changes to this Website and the Toolkit Online Services and Materials (defined below) at any time without notice to you. In addition, the Privacy Policy is hereby incorporated by reference in its entirety into these Terms of Use.

You are granted a nonexclusive, nontransferable, personal, revocable, limited license (the "License") to access and use for your internal use only the Content; Ask Alice advice columns; news stories; charts, tables, graphs, downloads, and/or software included in the Business Tools section; webinars; and information, forms, documents, and guides provided through Toolkit.com Premium Membership (collectively, "Toolkit Online Services and Materials") as from time to time may be made available to you. Upon the purchase of any Product in the Toolkit Store, you are granted a nonexclusive, nontransferable, personal, revocable, limited license (the "License") to access and use for your internal use only such Product. This License does not cover any use by you of the foregoing materials for the providing or offering of any product or services to others. This License is not to be used to provide information processing services, time-sharing, or service bureau-type services to any third party. Toolkit Media Group may terminate this License at any time for any reason. This License terminates automatically, without notice to you, if you breach any of these Terms of Use. Except as specifically authorized in these Terms of Use, you may not modify, print, copy, distribute, re-distribute, transmit, display, store, reproduce, publish, license, sell, create derivative works from, transfer, broadcast in any media, post or frame, or redistribute in any way this Website, the Toolkit Online Services and Materials or any Product purchased in the Toolkit Store unless expressly authorized by these Terms of Use, the express provisions on this Website, a separate written agreement signed by you and Toolkit Media Group, or applicable law.

All right, title and interest (including all copyright rights and other intellectual property rights) in this Website, the Toolkit Online Services and Materials (in both print and machine-readable forms) and any derivative works based thereon, and any Product purchased in the Toolkit Store belong to the Toolkit Media Group. You acquire no proprietary interest in the Toolkit Online Services and Materials or any Product, or copies or derivative works thereof.

You agree to use this Website, the Toolkit Online Services and Materials, and any Product purchased in the Toolkit Store only for your internal and informational purposes or as specifically authorized in these Terms of Use and elsewhere on this Website. Use for any other purpose is prohibited. You may not use this Website or the Toolkit Online Services and Materials retrieved from the Business Owner's Toolkit in and to any fashion that infringes copyright or proprietary interests therein, including any patent, trade secret, trademark, or similar intellectual property right. Toolkit Media Group may seek any available legal remedy or take any reasonable business steps to prevent the unauthorized use of, or access to, this Website, and to prevent access to users who violate these Terms of Use. Registration and Passwords

We offer users the ability register to become Toolkit.com members either via Free Membership or Premium Membership. By registering to become a Toolkit.com Free Member or Premium Member, you are agreeing to abide by these Terms of Use and any additional terms and conditions set forth on the individual Premium Membership items.

In addition, we offer users various products and services through our Toolkit Store. By using the Toolkit Store, you are agreeing to abide by these Terms of Use and any additional terms and conditions set forth on the Toolkit Store.

You agree to provide true, accurate, complete and current information about yourself when registering for Toolkit.com and to update the information as needed to keep it true, accurate, complete and current. You acknowledge that we reserve the right to refuse to grant you a username that is already in use, may be illegal, may be protected by trademark or other proprietary interest, is obscene or profane or otherwise determined by us, in our sole discretion, to be inappropriate. You agree to be responsible for all acts and omissions that occur in connection with your password. It is your responsibility to maintain the confidentiality of the password and you are responsible for all activities that occur under your user name and password. You agree to immediately notify us of any unauthorized use of your password or any other breach of security. We are not and will not be responsible for any loss or damage resulting from your failure to protect your username and password.

These Terms of Use will be governed and construed under the laws of the State of Delaware, U.S.A., without regard to its choice of law provisions. You agree that any action at law or in equity arising out of or relating to this Website or the Toolkit Online Services and Materials, including these Terms of Use, will be filed only in the state or federal courts located in Delaware. You consent and submit to the personal jurisdiction of such courts for the purpose of litigating any such action.

If any term or provision of these Terms of Use is held to be invalid, void or unenforceable by a court or arbitrator of competent jurisdiction, the remainder of these Terms of Use will not be affected, impaired or invalidated and each remaining term or provision will be valid and enforceable to the fullest extent permitted by law.

The failure by Toolkit Media Group or any of its parents, subsidiaries, or affiliates to enforce at any time any provision of the Terms of Use shall not be construed to be a waiver of such provision nor in any way to affect the validity of the Terms of Use or any part hereof or the right of the Toolkit Media Group or any of its parents, subsidiaries, or affiliates to enforce each and every provision. No waiver of any breach of these Terms of Use shall be held to constitute a waiver of any other or subsequent breach.

Toolkit Media Group reserves the right to investigate complaints or reported violations of the Terms of Use and to take any action we deem appropriate including, but not limited to, reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary to such persons or entities relating to user profiles, e-mail addresses, usage history, posted materials, IP addresses and traffic information. You acknowledge that Toolkit Media Group will have the right to report to law enforcement authorities any action that may be considered illegal, as well as any reports it receives of such conduct. Toolkit.com Membership

Toolkit Media Group offers users the ability register to become Toolkit.com members either via Free Membership or Premium Membership. A Free Membership is required to access certain areas and features of the Toolkit.com Website and to download certain tools and documents available on the Website. In order to become a Toolkit.com Free Member or Premium Member, you must register and provide certain information to Toolkit.com. Review our Privacy Policy for a listing of such information and terms applicable to the collection and use of such information. These Terms of Use govern your use of the portion of the Business Owner's Toolkit for Free Members and Premium Members (the "Membership Area") and the use of all the information, software, function, graphics, artwork, and any other online content, materials, and resources available through the Membership Area (the "Membership Content"). By accessing the Membership Area, you agree to these Terms of Use. If you do not agree to these Terms of Use, do not access the Membership Area. Toolkit Media Group may make improvements, updates, or changes to this Membership Area and the Membership Content at any time without notice to you.

Free Membership

Elements included in the Toolkit.com Free Membership are outlined on the Toolkit.com Membership Page. Registered Free Members will also see a list of Free Membership services via their MyToolkit Page. Items included in the Free Membership are subject to change or removal without notice to you. You are responsible for regularly reviewing these Membership Terms of Use. There are items available to all Free Members, such as our monthly e-newsletter, but that you must opt-in to receive. Members may opt-out of the e-newsletter or any other e-mail communications received from Business Owner's Toolkit at any time.

Premium Membership

Elements included in the Toolkit.com Free Membership are outlined on the Toolkit.com Membership Page. The Toolkit.com Premium Membership provides you with all the benefits of a Free Membership, as outlined above, plus the ability to select three of the available Premium Membership services (the "Premium Services") for an annual fee. The available Premium Services are outlined on the Toolkit.com Membership Page.

Upon registering for Premium Membership, you will receive an e-mail outlining access and/or redemption instructions for your three elected Premium Services. Registered Premium Members will also see a list of their three chosen Premium Services via their MyToolkit Page.

At the end of each membership term, you may change some or all of your Premium Services for the renewal term from the Premium Services available at the time or you may elect to keep your existing Premium Services.

Premium Services Provided By Third Parties

In cases where Premium Members select Premium Services provided by third-parties, we may share your personally identifiable information, such as your name, company name, email address and/or phone number, with the third party to the extent that is necessary to fulfill your Premium Service. You are advised to review the Privacy Policy for more details about our policies regarding the use of your personally identifiable information. The Toolkit.com Membership Page includes links to detail pages for each Premium Service, and such pages will state when the third party providing a Premium Service will contact you directly.

Annual Membership Fee and Auto Renewal

The annual fee for Premium Membership is $39. Upon registration for Premium Membership you will pay the first year's fee by credit card.

Toolkit.com Premium Memberships will be automatically renewed for successive one-year terms at the end of each membership term. You will receive an e-mail from us before the end of your current membership term stating that your membership term is up for renewal and that we will charge the credit card on file for your membership. You must contact customer service at 866-981-2677, by e-mail at customerservice@toolkit.com, or via live chat from within the Toolkit Store to cancel your membership or to change the credit card to which your membership renewal will be charged.

Membership Cancellation

If you are not satisfied with your membership, you may cancel your Free Membership or Premium Membership at any time by contacting customer service at 866-981-2677, by e-mail at customerservice@toolkit.com, or via live chat from within the Toolkit Store. Please reference your order number (for Premium Members) and/or the email address associated with your membership when contacting customer service. That number can be found on the order confirmation e-mail you received with your Premium Membership purchase. Toolkit Store customer service is available Mon-Fri 8:00 AM - 7:00 PM CT. Live chat is available Mon-Fri 8:30 AM - 5:30 PM CT.

Refunds on Premium Membership fees will not be offered after the first thirty days of your membership. If you select the Toolkit Media Group books option as one of your Premium Services and your selected books have already shipped to you, a $6.00 fee will be deducted from your refund.

Toolkit.com reserves the right to cancel any user's Premium Membership at any time, if the user violates these Terms of Use. If Toolkit.com cancels any Premium Membership for any reason, no refunds will be provided to such users.

Toolkit Store - Purchases of Toolkit Media Group Products

Purchases of Toolkit Media Group Products made via the Toolkit Store are made with Toolkit Media Group, and by making such purchase, you agree to these Terms of Use and that these Terms of Use govern your purchase.

These Products are designed to provide accurate and authoritative information in regard to the subject matter covered. THIS WEBSITE AND THE PRODUCT ARE NOT INTENDED TO PROVIDE AND DO NOT CONSTITUTE LEGAL, ACCOUNTING OR OTHER PROFESSIONAL ADVICE AND SHOULD NOT BE RELIED UPON OR CONSIDERED AS SUCH. Toolkit Store - Third Party Vendors

The Toolkit Store includes for purchase or license the Products from multiple third-party vendors (each, a "Vendor"). Purchases made within the Toolkit Store or originate in the Toolkit Store fall into three different categories:

• Purchases of Products within Toolkit Store which are fulfilled by Toolkit Media Group.
• Purchases of Products within Toolkit Store which are fulfilled by a Vendor or another third-party.
• Purchases of Products originating in the Toolkit Store that are made directly with the Vendor through a Vendor's Web site by leaving the Toolkit Store.

Products purchased within the Toolkit Store may include their own, separate terms of use. Customers purchasing from the Toolkit Store will be required to agree to such terms of use prior to submitting an order. Customers who purchase products and services with a Toolkit Store Vendor on the Vendor's Web site will be subject to that Vendor's terms of use.

You acknowledge that Toolkit Media Group is providing third party content or links to Vendors' Websites to you only as a convenience, and you agree that Toolkit Media Group has no liability, obligation or responsibility for, and makes no warranties with respect to, any correspondence, purchase or promotion between you and any Vendor or third party with a link on the Website, or for any data collection, privacy practices, content, or links displayed on such sites to which you may be linked. Toolkit Media Group is not responsible for and assumes no liability for any mistakes, misstatements of law, defamation, slander, libel, omissions, falsehood, obscenity, pornography or profanity in the statements, opinions, representations or any other form of content contained in any Vendor or third party content appearing on the Website. Please reference your Toolkit Store order number when contacting customer service. Your order number can be found on the order confirmation e-mail you received with your purchase. In order to receive a refund on a Toolkit Media Group Product purchase made via Toolkit Store, you must return the Product to Toolkit Media Group within 30-days of original purchase and in original condition. Refer to the section on Returns below for return instructions.

A refund of the price of the Product and any applicable taxes, less a return fee of $6, will be issued. Refunds will not be issued until the Product(s) purchased have been received by our return department.

Toolkit Store's online order form only accepts orders for shipping within the United States. For shipping to any other location, including Guam, Puerto Rico, and APO addresses, please contact our customer service team at 866-981-2677 to place your order by phone. International shipping charges will apply. International shipping charges are not refundable.

Toolkit Store - Toolkit Media Group Book Exempt Purchases

All exempt purchasers need to provide a copy of a state resale certificate, exemption certificate, or other acceptable proof of your entity's exempt status for the state to which the Toolkit Media Group Products will be shipped.

How to Submit this Information? First, place your order through the Toolkit Store. After you have placed your order, submit the information outlined below to Toolkit Media Group by e-mail to customerservice@toolkit.com or fax to 608-827-5501, Attn: Toolkit Store Tax Exempt, in order to receive a refund of any sales or use taxes.

Please include the following information with your request:

• The name of the organization that purchased the Toolkit Media Group Products
• Your Toolkit Store order number (which can be found on your order confirmation e-mail)
• Acceptable proof of your exempt status (as outlined above) including signature, if required
• Your e-mail address

You will need to submit this tax exempt information for each separate order placed via the Toolkit Store. A refund for the sales or use taxes will be processed after your order has been completed.

Financial Planning Toolkit Subscription

You may purchase a stand-alone subscription to Financial Planning Toolkit, our sister Website, for $24.99 per year or select the Financial Planning Toolkit subscription as part of your Business Owner's Toolkit Premium Membership. Your purchase of either the stand-alone subscription or Premium Membership is governed by these Terms of Use. Your usage of the Financial Planning Toolkit Website is governed by the Financial Planning Toolkit Website Terms of Use.

Subscriptions to Financial Planning Toolkit are annual subscriptions. When you subscribe to Financial Planning Toolkit or become a Toolkit.com Premium Member, you will be asked to provide personally identifiable information, such as your name, address, phone, email address, and credit card number as well as to select a password for accessing Financial Planning Toolkit. You will pay the first year's subscription or membership fee at the time you register.

Your subscription or Premium Membership will be automatically renewed. You will receive an e-mail from us before the end of your current subscription or Premium Membership term stating that your term is up for renewal and that we will charge the credit card on file for your subscription or Premium Membership.
